Acceptance
These are terms and conditions (the “Terms”) that apply to your partnership with Agropec Trading, LLC d/b/a ALLIVET (“Company,” “we,” or “us”) on https://www.allyvet.com/ (the "Partnership Portal"). These Terms are entered into by and between You and the Company. The following Terms, together with the Terms of Use and other terms or policies adopted by Company, govern your access to and use of the Partnership Portal including any content, functionality, and services offered on or through the same. Please read these Terms below carefully before you start to use the Partnership Portal. By using the Partnership Portal, you accept and agree to be bound and abide by these Terms, as well as our Terms of Use and Privacy Policy. If you do not want to agree to these Terms, the Terms of Use or the Privacy Policy, you must not access or use the Partnership Portal. TO THE EXTENT THESE TERMS CONFLICT WITH THE TERMS OF USE OR THE PRIVACY POLICY, LINKED ABOVE, THESE TERMS SHALL CONTROL.
Partnership
These Terms apply to your use of the Partnership Portal. The Partnership Portal is designed to allow for the payment of approved referral fees related to your facilitation of certain, agreed upon products offered by the Company to pet parents (collectively, the “Approved Products”). FOR THE AVOIDANCE OF DOUBT AND NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, YOU AGREE AND ACKNOWLEDGE THAT AT NO TIME WILL ANY PRESCRIPTION MEDICIATION BE DEEMED AN APPROVED PRODUCT. The Company reserves the right, in its sole and absolute discretion, to make available additional Approved Products to you following your original subscription to the Partnership Portal. For the avoidance of doubt, however, these Terms shall apply to all Approved Products.
Payment
Payment of any and all referral fees to you by the Company for Approved Products (collectively, the “Referral Fee”) shall be made in arrears once monthly for all such referrals of Approved Products made by you for the previous calendar month. Payment of the Referral Fee shall be communicated via email and shall be made by the Company to an account directed by you. Each payment confirmation will also include a monthly report of such Referral Fee which shall be shared via email. The applicable Referral Fee for each Approved Product shall be communicated by the Company to you upon the establishment of your ability to receive a Referral Fee for such Approved Product. Such Referral Fees are subject to change in the Company’s sole and absolute discretion; provided, however, that if Referral Fees are ever reduced by more than twenty-five percent (25%), you shall receive prior written notice of such deduction.
Continued Compliance
By participating in the Partnership Portal, you agree and acknowledge that (i) the Company is a licensed provider of prescription products throughout the country; and (ii) while the payment of Referral Fees for the Approved Products is currently permitted by applicable law, the Company reserves the right to suspend the Partnership Portal (as well as the payment of Referral Fees for any Approved Products) in the event that (a) the Partnership Portal is no longer compliant with applicable law; or (b) the payment of a Referral Fee for any Approved Product is no longer compliant with applicable law.
